Agreement to these Terms
These Terms of Use ("Terms") govern your access to and use of botonly.com and any subdomains, pages, forms, and content we make available through it (together, the "Site"). The Site is operated by Xneuro Inc. ("Xneuro," "we," "us," or "our"), a corporation incorporated under the laws of the Province of Alberta, Canada. BOTONLY is a brand owned and operated by Xneuro Inc.
By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
Scope — website use only
These Terms cover your use of the Site. They do not govern the sale, lease, delivery, installation, commissioning, warranty, or support of any BOTONLY product or service. Those relationships are governed exclusively by a separate written agreement — such as a quotation, purchase order acknowledgment, sales contract, or terms and conditions of sale — signed or accepted by both parties. If those documents conflict with these Terms, those documents control for the transaction they cover.
Business use and eligibility
The Site is intended for business and professional users. By using it, you represent that you are at least 18 years old and that, if you are acting on behalf of a company or other organization, you have authority to bind that organization to these Terms.
Permission to use the Site
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your internal business purposes, including evaluating our products and services. You may print or download individual pages, datasheets, and brochures for that purpose provided you keep all proprietary notices intact.
Restrictions
You agree not to:
- copy, republish, distribute, sell, license, or create derivative works from the Site or its content, except as permitted in Section 4;
- use automated tools — crawlers, scrapers, bots, or data-extraction software — to access, harvest, or index the Site, other than search-engine crawlers obeying our robots.txt;
- attempt to gain unauthorized access to the Site, its servers, or any connected system, or probe, scan, or test its vulnerability;
- interfere with the Site's operation, introduce malware, or impose an unreasonable load on our infrastructure;
- use the Site to develop, train, or benchmark a competing product, or to build a competing database or dataset;
- remove, obscure, or alter any copyright, trademark, or other proprietary notice;
- use the Site in violation of any applicable law, regulation, or export control; or
- misrepresent your identity or affiliation when submitting information to us.
Intellectual property
The Site and all of its content — text, graphics, photographs, videos, drawings, CAD renderings, layouts, software, and their selection and arrangement — are owned by BOTONLY or our licensors and are protected by copyright, trademark, trade dress, and other intellectual property laws.
BOTONLY and the BOTONLY logo are trademarks of Xneuro Inc. Nothing on the Site grants you any license or right to use our marks without our prior written consent. Third-party names and marks appearing on the Site are the property of their respective owners and are used for identification only; their appearance does not imply endorsement or affiliation.
Product information, specifications, and pricing
Product descriptions, specifications, payload and speed ratings, run-time figures, dimensions, images, videos, and configuration options on the Site are provided for general informational purposes only. They are not offers to sell, and they do not form part of any contract unless expressly incorporated into a signed quotation or sales agreement.
Specifically:
- Specifications may change. We continuously develop our products and may change designs, components, software, and specifications at any time without notice or obligation to update units already delivered or quoted.
- Performance figures are indicative. Published payload, speed, gradient, battery run-time, charging time, positioning accuracy, and throughput figures reflect testing under specific conditions. Actual performance depends on floor condition, layout, load characteristics, temperature, duty cycle, network conditions, and integration. These figures are not a warranty and are not a guaranteed performance level.
- Images are illustrative. Photographs, renderings, and videos may show optional equipment, prototypes, or configurations not included as standard.
- Availability and pricing. Any pricing, lead time, or availability shown or discussed on the Site is indicative and subject to confirmation in a written quotation. We may withdraw or modify products at any time.
- Regional differences. Product configurations, certifications, and options vary by market. A product shown on the Site may not be offered, certified, or supported in your country.
No engineering, safety, or professional advice
Content on the Site — including application notes, ROI calculators, layout examples, blog articles, guides, and comparison material — is general information, not engineering, safety, legal, or financial advice, and is not a substitute for a site-specific assessment.
Automated guided vehicles and autonomous mobile robots are industrial machinery that operate in environments shared with people and other equipment. You are solely responsible for:
- conducting a site-specific risk assessment before deployment;
- determining whether a product is suitable for your application, environment, and load;
- complying with all applicable safety standards and regulations, which may include ANSI/ITSDF B56.5, ISO 3691-4, ISO 12100, ISO 3691-4 functional safety requirements, EN 1175, applicable OSHA regulations, local electrical and fire codes, and any equivalent requirements in your jurisdiction;
- training operators and maintenance personnel; and
- maintaining, inspecting, and servicing equipment as specified in the applicable product documentation.
Nothing on the Site relieves you of these responsibilities.
Inquiries, quote requests, and submissions
When you submit a request for quote, contact form, application questionnaire, layout, drawing, or other material through the Site ("Submissions"):
- Do not send confidential information. Unless we have a signed non-disclosure agreement in place covering the exchange, treat any Submission as non-confidential. We assume no obligation of confidentiality for unsolicited Submissions.
- License. You grant us a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, and incorporate any Submission for the purpose of responding to your inquiry and improving our products and services. You represent that you have the rights necessary to grant this license.
- Accuracy. You are responsible for the accuracy of the operational data you provide. Any proposal, layout, or throughput estimate we prepare in response relies on that data and is preliminary until validated on site.
- No obligation. Submitting an inquiry does not obligate us to respond, quote, or enter into any agreement.
We may refuse, edit, or remove any Submission at our discretion.
Third-party links and content
The Site may link to third-party websites, distributor or integrator sites, standards bodies, or embedded content such as video players and maps. We do not control and are not responsible for third-party content, products, privacy practices, or availability. Links are provided for convenience and do not imply endorsement. Your use of third-party sites is at your own risk and subject to their terms.
Export control, sanctions, and end use
The Site, our products, and any related technical data may be subject to export control and sanctions laws, including Canada's Export and Import Permits Act and the Special Economic Measures Act and regulations made under them, the U.S. Export Administration Regulations (EAR), U.S. sanctions administered by OFAC, and the export control laws of the People's Republic of China and other jurisdictions.
You agree that you will not access the Site or request, receive, resell, export, re-export, or transfer any product, software, or technical data in violation of those laws, and that you are not located in, organized under the laws of, ordinarily resident in, or acting on behalf of any person in a country or region subject to comprehensive sanctions, and that you are not a person listed on any restricted-party list, including any Canadian sanctions or listed-persons regime, or the U.S. Denied Persons List, Entity List, or SDN List. You further agree not to use our products for any prohibited end use, including military, nuclear, missile, or chemical/biological weapons applications.
Availability of the Site
We provide the Site on an as-available basis. We may modify, suspend, restrict, or discontinue any part of the Site at any time without notice, and we may deny access to any user at our discretion.
Disclaimer of warranties
THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOTONLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT.
We do not warrant that the Site will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Site or its servers are free of harmful components. We do not warrant that content on the Site is accurate, complete, or current.
Any product warranty is granted only in the applicable written sales agreement or warranty statement, and only to the direct purchaser.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOTONLY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, PRODUCTION, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In those jurisdictions, our liability is limited to the greatest extent permitted by law. Nothing in these Terms excludes liability for fraud, personal injury caused by negligence, or any other liability that cannot lawfully be excluded.
Indemnification
You agree to indemnify, defend, and hold harmless BOTONLY and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Site, your Submissions, your violation of these Terms, or your violation of any law or third-party right.
Privacy
Our collection and use of personal information through the Site is described in our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference.
Changes to these Terms
We may revise these Terms at any time by posting an updated version with a new effective date. Material changes take effect when posted. Your continued use of the Site after that date constitutes acceptance of the revised Terms. Review this page periodically.
Governing law and venue
These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
You agree that the courts of the Province of Alberta have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Site, and you attorn to the jurisdiction of those courts and waive any objection based on inconvenient forum.
General
- Severability. If any provision is held unenforceable, the remainder stays in effect and the unenforceable provision is modified to the minimum extent necessary to make it enforceable.
- No waiver. Our failure to enforce any provision is not a waiver of it.
- Assignment. You may not assign these Terms without our written consent. We may assign them freely, including in connection with a merger or sale of assets.
- Entire agreement. These Terms, together with the Privacy Policy and Cookie Policy, are the entire agreement between you and us regarding the Site, and supersede any prior understanding on that subject.
- Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.
- Headings. Section headings are for convenience only and do not affect interpretation.
- Language. These Terms are drafted in English. Any translation is provided for convenience; the English version controls.
